1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the website located at isellforyou.co (the "Site") and the revenue recovery and outbound sales services (the "Services") provided by iSellForYou LLC ("ISFY," "we," "us," or "our").

By accessing the Site or engaging our Services — whether as a prospective brand client, current brand client, or general visitor — you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

2. Description of Services

ISFY provides performance-based revenue recovery infrastructure for e-commerce and direct-to-consumer brands. Our Services include, but are not limited to:

  • Cart abandonment recovery — outbound outreach to customers who initiated but did not complete a purchase

  • Declined payment recovery — contacting customers to resolve failed transactions

  • Old buyer reactivation — re-engaging dormant customers via outbound calls

  • Post-purchase upsell calls — presenting relevant offers to recent buyers

  • Welcome calls — first-impression outreach to new customers

  • Loyalty & birthday outreach — relationship-building calls to increase lifetime value

  • High-ticket coaching upsells — bridging product buyers into coaching programs (Growth Division)

The specific scope of Services for each brand client is defined in a separate written agreement ("Service Agreement") executed between ISFY and the brand client.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into binding contracts on behalf of yourself or the business entity you represent. By using the Services, you represent and warrant that you meet these requirements.

4. Brand Client Obligations

As a brand client engaging ISFY's Services, you agree to:

  • Provide accurate, complete, and lawfully obtained customer data for use in recovery campaigns

  • Ensure all customer data provided complies with applicable data protection laws (including GDPR, CCPA, TCPA, and other applicable regulations)

  • Obtain all necessary consents from your customers before providing their contact information to ISFY for outreach purposes

  • Approve scripts, messaging, and campaign parameters before campaigns are launched

  • Provide timely access to CRM systems, customer records, and other integrations required to deliver the Services

  • Pay all fees and commissions in accordance with your Service Agreement

  • Notify ISFY promptly of any changes to your brand, product, or compliance requirements

Important: ISFY acts as a service provider and data processor on your behalf. You remain solely responsible for ensuring the lawfulness of the customer data you provide and for compliance with telemarketing, do-not-call, and consumer protection regulations applicable to your business and markets.

5. Performance-Based Compensation

ISFY operates on a commission-based model. Fees are earned exclusively upon successful recovery or sales outcomes as defined in the applicable Service Agreement. No setup fees or retainers are charged unless expressly agreed in writing.

Commission rates, payment schedules, definitions of qualifying recoveries, and dispute resolution procedures are outlined in each brand client's individual Service Agreement, which governs in the event of any conflict with these Terms.

6. Intellectual Property

6.1 ISFY Property. All content on the Site — including but not limited to text, graphics, logos, scripts, training materials, process methodologies, AI models, and system designs — is the exclusive property of ISFY or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any ISFY content without prior written consent.

6.2 Brand Client Materials. Brand clients retain ownership of all brand assets, customer data, and proprietary materials provided to ISFY. By providing such materials, you grant ISFY a limited, non-exclusive license to use them solely for the purpose of delivering the agreed Services.

6.3 Campaign Scripts. Scripts and messaging developed collaboratively between ISFY and a brand client are jointly owned unless otherwise specified in the Service Agreement.

7. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with the Services, including but not limited to customer data, campaign performance metrics, pricing, and proprietary methodologies. This obligation survives termination of any Service Agreement.

ISFY will not disclose a brand client's customer data or campaign results to any third party except as required by law or expressly authorized in writing by the brand client.

8. Data Processing & Compliance

ISFY processes customer data provided by brand clients strictly in accordance with applicable data protection laws and the instructions set forth in the Service Agreement. Brand clients are responsible for ensuring that:

  • Customer data is collected and transferred to ISFY lawfully

  • Customers have been informed of and, where required, have consented to outbound contact

  • All relevant do-not-contact and do-not-call obligations are honored

ISFY will promptly notify brand clients of any data breach affecting their customer data, as required by applicable law.

9. Prohibited Uses

You agree not to use the Site or Services to:

  • Violate any applicable law, regulation, or third-party rights

  • Provide false, misleading, or fraudulent information

  • Transmit unlawfully obtained customer data or data to which you do not have proper rights

  • Interfere with or disrupt the operation of the Site or ISFY's infrastructure

  • Attempt to reverse-engineer, scrape, or extract ISFY's proprietary systems, models, or methodologies

  • Use the Services for any purpose that violates consumer protection, telemarketing, or anti-spam laws

10. Disclaimer of Warranties

The Site and Services are provided on an "as is" and "as available" basis. ISFY makes no warranties, express or implied, regarding the Site or Services, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

ISFY does not guarantee specific recovery rates, revenue outcomes, or results. Performance metrics shared in marketing materials represent historical averages and are not guaranteed for any individual brand client.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ISFY shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or relating to your use of the Site or Services, even if ISFY has been advised of the possibility of such damages.

ISFY's total cumulative liability to any brand client for direct damages shall not exceed the total commissions paid by that brand client to ISFY in the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless ISFY and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your breach of these Terms or any Service Agreement

  • Your violation of applicable law, including data protection and telemarketing laws

  • Customer data you provide to ISFY that infringes third-party rights or violates applicable law

  • Any claim by your customers arising from outreach conducted on your behalf

13. Term & Termination

These Terms remain in effect for as long as you access the Site or engage the Services. Either party may terminate a Service Agreement in accordance with the termination provisions set forth therein.

ISFY reserves the right to suspend or terminate access to the Site or Services at any time, with or without notice, for conduct that violates these Terms or applicable law.

Upon termination, all provisions of these Terms that by their nature should survive (including confidentiality, intellectual property, limitation of liability, and indemnification) shall continue in full force and effect.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If the dispute is not resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association (AAA), with proceedings conducted in English.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to prevent irreparable harm.

15. Modifications to These Terms

ISFY reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this page and, for brand clients, by providing written notice via email. Your continued use of the Services after the effective date of any modification constitutes acceptance of the updated Terms.

16. Miscellaneous

  • Entire Agreement: These Terms, together with any applicable Service Agreement, constitute the entire agreement between you and ISFY regarding the subject matter hereof

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect

  • No Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision

  • Assignment: You may not assign your rights or obligations under these Terms without ISFY's prior written consent. ISFY may assign its rights in connection with a merger, acquisition, or sale of assets

  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control
